These Terms and Conditions (“Terms”) govern your access to and use of the consulting services (the “Service”). By engaging with Shine in Asia Sp. z o.o., you agree to these Terms and acknowledge that the Service is operated by SHINE IN ASIA AUDIO SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ (Shine in Asia Sp. z o.o.), a company registered in Poland (NIP: 7011090016). Registered office: UL. KRUCZA 16/22, 00-526 WARSZAWA.
These Terms apply to all clients, including resellers and their end clients.
1 Acceptance of Terms
By engaging our consulting services, you accept these Terms. If you do not agree, you must not use the Service.
1A Definitions
For ease of reference:
- “Service” means the consulting, advisory and related professional services provided by Shine in Asia Sp. z o.o. under these Terms.
- “Client Data” means any information, content, or data that you provide to us in the course of the consulting engagement.
- “Subscription” means a recurring retainer or package of consulting hours you select (e.g., monthly or annual).
- “Confidential Information” means proprietary or non-public information disclosed by either party to the other that is identified as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure (including pricing, business plans, strategy documents and trade secrets).
2 Description of the Service
Shine in Asia Sp. z o.o. provides consulting services for service-based businesses, with areas of expertise that may include:
- Business strategy and growth consulting
- Marketing and funnel design
- Advertising strategy (e.g., Meta Ads, Google Ads)
- Process optimisation and automation advice
- Customer experience and retention consulting
- Market research and competitive analysis
- Training, workshops and implementation guidance
Scope: The Service may be delivered as one-off projects, workshops, ongoing advisory retainers or via subscription plans (e.g., monthly/annual packages). Deliverables are described in the proposal, agreement, or order form provided to you.
3 Eligibility
You must be at least 18 years old and legally authorised to represent a business. All registration and engagement details must be true, accurate and up-to-date.
4 Client Responsibilities
You are responsible for:
- Providing accurate and timely information required for us to perform the Service.
- Making decisions and approvals necessary to move projects forward.
- Implementing advice, strategies, or recommendations provided. (Shine in Asia Sp. z o.o. is not liable if results are not achieved due to non-implementation of our guidance.)
5 Fees & Refund Policy
- Money-back guarantee: For first-time clients, we offer a 14-day money-back guarantee from the start of the engagement. Notice must be given within 14 calendar days. Refunds are processed within 14 business days.
- After this period, all fees are non-refundable unless otherwise stated in writing. This guarantee does not apply to renewals, upgrades, additional purchases, or completed one-off consulting sessions.
6 Billing & Payment
- Fees may be charged as project fees, retainers, or hourly/daily rates, as specified in the proposal or order form.
- Subscriptions renew automatically unless cancelled before the renewal date.
- All prices are quoted exclusive of VAT or other applicable taxes, unless explicitly stated otherwise.
- Invoices will be issued electronically and are due on the terms specified (usually immediate or within 14 days).
- Late payments may result in interest charges at the statutory rate and/or suspension of services until payment is received.
7 Licensing, Deliverables & Ownership
- You receive a right to use any deliverables (e.g., reports, strategies, templates) for your internal business purposes only.
- Shine in Asia Sp. z o.o. retains all intellectual property rights to methodologies, frameworks, templates, and materials developed or used in the Service.
- You may not resell, rebrand, or distribute deliverables to third parties without prior written consent.
8 Modifications to Service
We may adjust, enhance, or discontinue aspects of our consulting offerings at any time. If material changes affect ongoing contracts, we will notify you in writing.
9 Confidentiality
Each party agrees to protect the other’s Confidential Information and not disclose it to third parties except as necessary to perform obligations under these Terms or as required by law. This obligation survives termination of the engagement.
10 Feedback
Any feedback, suggestions or ideas submitted to Shine in Asia Sp. z o.o. may be used without compensation or obligation.
11 Liability & Indemnification
- Limitation of liability: The Service is provided “as is”. Shine in Asia Sp. z o.o. makes no guarantee of specific business results. We are not liable for loss of revenue, profits, or data arising from use of our consulting services. Our liability for any claim is limited to the total fees you paid to us in the month preceding the claim.
- Indemnification: You agree to indemnify and hold harmless Shine in Asia Sp. z o.o., its directors and affiliates against claims, damages or expenses arising from your use of the Service or implementation of advice, except where caused by our wilful misconduct or gross negligence.
12 Acceptable Use
You agree not to misuse our consulting services, including:
- Using deliverables for illegal or deceptive purposes.
- Misrepresenting Shine in Asia Sp. z o.o. as your own business or product.
- Sharing confidential strategies, documents, or templates without permission.
13 Termination
- Either party may terminate the engagement with written notice (typically 30 days, unless otherwise agreed).
- Upon termination, fees already paid are non-refundable except as specified under Section 5.
- Access to any subscription-based advisory ends at the termination date.
14 Governing Law & Dispute Resolution
These Terms are governed by the laws of Poland. Disputes shall first be attempted to be resolved amicably. If unresolved, disputes will be submitted to the competent courts of Poland.
15 Miscellaneous
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent.
- Severability: If any provision is deemed unenforceable, the remaining provisions remain valid.
- Entire agreement: These Terms constitute the entire agreement between you and Shine in Asia Sp. z o.o. and supersede all prior agreements or understandings.
- No waiver: Our failure to enforce any provision shall not constitute a waiver of our rights.
